南安市多举措推进企业挂牌上市工作

　　为把握我国多层次资本 市场http://www.stonebuy.com/enterprise/FuJian/QuanZhouShi.html发展新机遇，进一步提升利用资本 市场http://www.stonebuy.com/enterprise/FuJian/QuanZhouShi.html服务实体经济的能力和水平，加快推进全市 企业http://www.stonebuy.com/enterprise/挂牌、上市工作，现结合 南安http://www.shicai.com.cn/市实际，提出如下措施：
　　一、建立后备 企业http://www.stonebuy.com/enterprise/资源库
　　（一）按照“培育一批、改制一批、辅导一批、申报一批、上市一批”的工作思路，建立挂牌、科创板上市和上市后备 企业http://www.stonebuy.com/enterprise/（以下统称后备 企业http://www.stonebuy.com/enterprise/）资源库， 筛选符合国家和省、市产业政策且经营情况良好、具备发展潜力和有挂牌、上市意愿的企业http://www.stonebuy.com/enterprise/入库，实行滚动管理，每年调整1次。
　　（二） 进入后备企业http://www.stonebuy.com/enterprise/资源库的企业http://www.stonebuy.com/enterprise/应为股份有限公司或有限责任公司，近3年无重大违法违规行为。其中：
　　1.列入挂牌后备 企业http://www.stonebuy.com/enterprise/资源库的 企业http://www.stonebuy.com/enterprise/还需满足以下条件之一：
　　（1）上年度纳税总额100万元以上。
　　（2）注册资本500万元以上且上年度净利润超200万元。
　　（3）高新技术 企业http://www.stonebuy.com/enterprise/。
　　（4） 泉州http://www.zongyi.com.cn/市级以上农业产业龙头 企业http://www.stonebuy.com/enterprise/。
　　2.列入科创板上市后备 企业http://www.stonebuy.com/enterprise/资源库的 企业http://www.stonebuy.com/enterprise/还需满足以下条件之一：
　　（1）符合科创板定位，科技创新能力突出、拥有关键核心技术。
　　（2）上一年营业收入同比增速不低于20%的高新技术 企业http://www.stonebuy.com/enterprise/或最近一年股权融资额不低于2000万元、投后估值不低于5亿元或实现国产替代进口、弥补国内技术空白。
　　3.列入上市后备 企业http://www.stonebuy.com/enterprise/（科创板除外）资源库的 企业http://www.stonebuy.com/enterprise/还需满足以下条件之一：
　　（1）上年度纳税总额500万元以上。
　　（2）注册资本3000万元以上，最近三年净利润累计3000万元以上。
　　（3）拟在创业板上市，最近两年净利润累计1000万元以上或最近一年营业收入5000万元以上且上一年净利润500万元以上。
　　（三） 企业http://www.stonebuy.com/enterprise/提出申请，报所在镇（街道、开发区）初审、推荐，市财政局会同有关部门根据 企业http://www.stonebuy.com/enterprise/年度运营情况，对照 企业http://www.stonebuy.com/enterprise/申请条件，在每年上半年征集筛选当年度后备 企业http://www.stonebuy.com/enterprise/名单并上报市政府审定确认。
　　二、加大政策扶持力度
　　（一） 企业http://www.stonebuy.com/enterprise/股份制改制奖励
　　1. 股权登记托管费用补助。非上市 企业http://www.stonebuy.com/enterprise/股份有限公司在股权托管机构进行股权登记托管的，自登记托管年度起连续5年，给予30%费用补助，单家 企业http://www.stonebuy.com/enterprise/每年最高不超过 2万元。
　　2. 股改贡献奖励。后备 企业http://www.stonebuy.com/enterprise/在股改时，因盈余公积金、未分配利润转增股本而缴纳的个人所得税或 企业http://www.stonebuy.com/enterprise/所得税，按财政贡献本级留成部分的50%予以奖励；因土地、房产、设备评估增值或补入账而补缴的税收，按财政贡献本级留成部分的50%予以奖励。
　　3.支持措施。对后备 企业http://www.stonebuy.com/enterprise/改制上市过程中遇到的历史问题和困难，按照“一企一策”原则予以协调解决；改制涉及的本级权限内收费项目一律按最低标准收取。
　　（二） 企业http://www.stonebuy.com/enterprise/挂牌融资奖励
　　1 .区域性股权交易市场http://www.stonebuy.com/enterprise/FuJian/QuanZhouShi.html挂牌奖励。后备 企业http://www.stonebuy.com/enterprise/在海峡股权
　　交易中心股改层、交易层挂牌的，市政府分别给予 20万元、60万元奖励。
　　2. “新三板”挂牌奖励。后备 企业http://www.stonebuy.com/enterprise/在“新三板”基础层、创新层挂牌交易的，市政府分别给予 160万元、200万元奖励。在“新三板”精选层挂牌并首次公开发行股票的，以招股说明书为依据，募集资金50%以上投资于我市的，市政府给予 240万元奖励。
　　3. 挂牌贡献奖励。后备 企业http://www.stonebuy.com/enterprise/在“新三板”或在海峡股权交易中心交易层、股改层挂牌当年起，以上一年度所缴 企业http://www.stonebuy.com/enterprise/所得税为基数，每年新增的 企业http://www.stonebuy.com/enterprise/所得税，按财政贡献本级留成部分的50%予以奖励，期限3年。
　　（三） 企业http://www.stonebuy.com/enterprise/上市融资奖励
　　1. 辅导备案奖励。后备 企业http://www.stonebuy.com/enterprise/经 福建http://www.zongyi.com.cn/证监局辅导备案的，市政府给予100万元奖励。
　　2. 境内上市奖励。后备 企业http://www.stonebuy.com/enterprise/首发上市申报材料获 中国http://www.stonebuy.com证监会（沪、深证券交易所）受理的，市政府给予 200万元奖励，申报科创板叠加25万元奖励。首发上市募集资金50%以上投资于我市的，以招股说明书为依据，市政府给予 250万元奖励，科创板上市叠加50万元奖励。上市当年在我市缴纳增值税和 企业http://www.stonebuy.com/enterprise/所得税达5000万元的，叠加50万元奖励。
　　3. 境外上市奖励。后备 企业http://www.stonebuy.com/enterprise/发行境外上市外资股申报材料获 中国http://www.stonebuy.com证监会核准的，市政府给予200万元奖励。首发公开发行境外上市外资股并上市或以存在控制关系的境外上市公司境外上市，以招股说明书为依据，上市募集资金达50%以上投资于我市的，市政府给予 250万元奖励。上市当年在我市缴纳增值税和 企业http://www.stonebuy.com/enterprise/所得税达5000万元的，叠加50万元奖励。发行境外上市外资股的上市公司发行A股，且募集资金50%以上投资于我市的，市政府给予 250万元奖励。
　　4. 异地迁入奖励。后备 企业http://www.stonebuy.com/enterprise/按相关法律法规异地“借壳”、“买壳”上市后，将上市公司注册地迁至我市并承诺10年内不迁离的，市政府给予 500万元奖励。
　　5. 间接上市中介费用补助。后备 企业http://www.stonebuy.com/enterprise/以资产置换、兼并重组等方式实现间接上市的，中介费用按其实际费用总额的50%给予补助，最高不超过 300万元。
　　6. 上市贡献奖励。后备 企业http://www.stonebuy.com/enterprise/在 福建http://www.zongyi.com.cn/证监局辅导备案的前一年至上市当年，以上一年度所缴 企业http://www.stonebuy.com/enterprise/所得税为基数，按每年新增财政贡献本级留成部分的50%给予奖励；拟发行境外上市外资股的，奖励的起始时间为取得 中国http://www.stonebuy.com证监会核准批复的前一年至上市当年，奖励时间最长3年。
　　（四） 企业http://www.stonebuy.com/enterprise/再融资奖励
　　挂牌、上市公司进行再融资（包括配股、增发和发行可转换债券、公司债券等），再融资资金投资于我市1亿元以上的，市政府给予50万元奖励；投资每增加1亿元，再奖励10万元，当年度奖励金额最高不超过 100万元。
　　（五）资本人才奖励
　　挂牌、上市公司的财务总监、董事会秘书、财务经理、证券事务代表自公司挂牌、上市当年起，按照其上一年度工资薪金收入所缴纳的个人所得税财政贡献本级留成部分的50%给予奖励，期限3年。
　　（六）股权激励奖励
　　后备 企业http://www.stonebuy.com/enterprise/完成股改并对董事、高管、核心骨干人员等10名以上对象实施股权激励的，市政府给予10万元奖励。
　　三、其他事项
　　（一）本措施相关扶持政策的兑现，由 企业http://www.stonebuy.com/enterprise/提出书面申请，市财政局对申请材料进行审核，报市政府同意后兑现奖励资金。
　　（二）上市后备 企业http://www.stonebuy.com/enterprise/、科创板上市后备 企业http://www.stonebuy.com/enterprise/在“新三板”和区域性股权交易 市场http://www.stonebuy.com/enterprise/FuJian/QuanZhouShi.html挂牌的，参照挂牌后备 企业http://www.stonebuy.com/enterprise/享受本措施扶持政策。“新三板”和区域性股权交易 市场http://www.stonebuy.com/enterprise/FuJian/QuanZhouShi.html挂牌 企业http://www.stonebuy.com/enterprise/转板或在境内外上市的，参照后备 企业http://www.stonebuy.com/enterprise/享受本措施扶持政策，但应扣除此前享受奖励的重叠部分。
　　（三） 企业http://www.stonebuy.com/enterprise/挂牌、上市募集资金不足50%投资我市的，相关挂牌、上市奖励按 企业http://www.stonebuy.com/enterprise/募集资金实际投资我市金额与 企业http://www.stonebuy.com/enterprise/募集资金50%额度所占比例给予兑现。
　　（四） 企业http://www.stonebuy.com/enterprise/享受挂牌融资和上市融资奖励政策的，5年内不得迁离本市，不到5年迁离的，须将已兑现奖补资金全额退还。
　　（五）若上级新出台扶持政策条款多于或奖励标准高于本措施的，执行新出台政策。
　　（六）本措施由市财政局负责解释，自印发之日起施行。《 南安http://www.shicai.com.cn/市人民政府关于印发 南安http://www.shicai.com.cn/市进一步加强 企业http://www.stonebuy.com/enterprise/挂牌上市工作意见的通知》（南政文〔2019〕36号）同时废止。
　　据了解， 南安http://www.shicai.com.cn/市2020年度上市后备 企业http://www.stonebuy.com/enterprise/54家，其中 石材http://www.stonebuy.com/企业http://www.stonebuy.com/enterprise/（含石材http://www.stonebuy.com/机械http://www.stonebuy.com/machine/企业http://www.stonebuy.com/enterprise/）14家； 南安http://www.shicai.com.cn/市2020年度挂牌后备 企业http://www.stonebuy.com/enterprise/37家， 其中石材http://www.stonebuy.com/企业http://www.stonebuy.com/enterprise/10家。
